Services & Deliverables

Sonder Digital ("Service Provider") shall provide The Client ("The Client") with the following Website Design services.

Revisions

This package includes 2 rounds of revisions on all Website Design deliverables, at no additional charge, provided:

– Requested changes do not substantially alter the original project scope, direction, or purpose.

– The Client has not already given final approval on the piece of work.

Revision process:

– First round of revisions to be compiled and submitted by The Client within 3 working days of the review meeting.

– Second round of revisions to be compiled and submitted by The Client within 3 working days of Service Provider completing the first round.

Additional revision rounds may be arranged by mutual agreement at a rate of $120.00 AUD per round, or as otherwise agreed in writing.

Substantive Changes

If The Client requests changes that amount to a revision of 50% or more of the time or value of the original deliverables, Service Provider reserves the right to issue a revised project invoice and updated agreement. Work on revised services will not commence until the updated invoice is paid and the revised agreement is signed.

Client Expectations

– Please come prepared for all meetings and be ready to participate on time.

– Communicate feedback and concerns openly and as soon as possible.

– Adhere to agreed timelines — missed deadlines affect Service Provider's schedule and other client projects.

– Feedback requests must be responded to within 3 working days, or the project will be placed on hold. A new timeline and an additional fee may apply upon recommencement.

Cancellation

Either party may terminate this agreement at any time if the working relationship is deemed unsatisfactory. In the event of cancellation:

– The non-refundable deposit is retained by Service Provider.

– The Client is responsible for payment of any work completed and expenses incurred up to the date of cancellation, regardless of whether final files have been delivered.

– All copyright and ownership of work produced prior to cancellation remains with Service Provider.

Copyright & Ownership

All design files listed in this agreement are original works created by Service Provider. Service Provider retains full copyright ownership of all work until final payment is received.

Upon receipt of final payment, Service Provider grants The Client an unlimited licence to use the delivered files for both online and print purposes.

Original editable source files (e.g. .AI, .PSD, .FIGMA) are not included in the deliverables unless otherwise agreed in writing.

Confidentiality

Both parties may receive confidential information during this project, including but not limited to business details, passwords, and financial information. Neither party will share or sell this information to any third party without express written permission from the other party.

Expenses

The Client agrees to reimburse Service Provider for any pre-approved expenses arising from this project (e.g. stock imagery or licensed assets). Service Provider will always consult The Client before purchasing any materials outside the agreed service cost.

Acceptance of Terms

By signing below, both parties confirm they have read, understood, and agreed to the terms set out in this agreement. Electronic signatures are considered legal and binding.
